What a DRHP tells you that social media does not

IPO conversation online is dominated by allotment odds and grey market chatter. The offer document is dominated by disclosure, and that is where research actually lives.
Start with Objects of the Issue. If the majority of the raise is an offer for sale, the company receives little of the money, which changes the growth story materially.
Then read Risk Factors, but sort them. Generic risks appear in every document. Specific ones — customer concentration, pending litigation, dependence on a single plant or licence — are the ones with information content.
Finally check related-party transactions and the promoter group's history. None of this predicts listing day, and it is not meant to. It tells you what you are buying.
